A Disclosure Letter is an essential component of corporate transactions under Danish law, particularly in mergers and acquisitions. This document accompanies the main transaction agreement (such as a Share Purchase Agreement or Asset Purchase Agreement) and serves to disclose exceptions, qualifications, or additional information relating to the warranties and representations made in the main agreement. The Disclosure Letter helps allocate risk between parties by allowing the seller to avoid liability for matters that have been properly disclosed.
