It replaces the previous system of Memorandum and Articles of Association and serves as the company's constitution. The MOI must be filed with the Companies and Intellectual Property Commission (CIPC) during company registration and can be modified later through special resolutions. The document can either use the standard form provided by CIPC or be customized to suit specific business needs, provided it complies with the Companies Act.
